Terms of Service

Welcome to AuctionCalc. By accessing or using our vehicle valuation and bidding analysis platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Service Description

AuctionCalc provides a software-as-a-service (SaaS) platform for vehicle valuation analysis, bidding calculations, and portfolio tracking for Copart, IAA, and similar auction buyers. Our Service includes:

• VIN-based vehicle valuation lookups
• Market data analysis and pricing recommendations
• ROI and profit calculations
• Vehicle portfolio management tools

2. Account Registration

To use certain features of our Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3. Service Delivery and Usage

Each VIN lookup represents a discrete service transaction. Once a VIN lookup is performed:

• The service has been delivered
• Data and analysis have been provided
• The transaction is considered complete

4. Subscription Plans and Billing

We offer various subscription plans with different VIN lookup limits. By subscribing, you agree to:

• Pay the applicable subscription fees at the price shown at checkout before you complete payment
• Automatic renewal at the end of each billing period unless you cancel
• Charges to your payment method on file at the then-current rate

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in our Refund Policy.

If you are a California resident, you acknowledge that your subscription will automatically renew unless you cancel before the renewal date, and that the price and renewal terms are disclosed before checkout through our Stripe payment page.

5. Cancellation

You may cancel your subscription at any time without contacting support:

1. Sign in to AuctionCalc at auctioncalc.app
2. Open Account → Request Cancellation (or Manage Subscription)
3. Follow the link to our secure Stripe billing portal to cancel

California and other U.S. subscribers may cancel online using the same self-serve billing portal. You may also email hussein.sbeiti.wb@gmail.com if you need help.

Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• No refunds will be issued for partial billing periods
• Future charges will be stopped
• You will retain access until the paid period expires

6. Evaluation Access

New accounts receive 1 complimentary VIN evaluation to experience our Service. This evaluation access:

• Is limited to one (1) VIN lookup
• Constitutes full service delivery upon use
• Cannot be exchanged for credit or refund
• Is provided for evaluation purposes only

7. User Content and Uploads

Certain features allow you to upload content, including vehicle damage photos and related notes ("User Content"). You retain ownership of your User Content, but you grant AuctionCalc a non-exclusive, worldwide, royalty-free license to host, store, process, and display User Content solely to operate and improve the Service (for example, generating damage estimates and saving thumbnails to your account).

You represent and warrant that:

• You own or have all necessary rights to upload and use the User Content
• Your User Content does not infringe any copyright, trademark, privacy, or other rights of any third party
• Your User Content complies with applicable law and these Terms

We may remove or disable access to User Content that we reasonably believe violates these Terms or the law. We may terminate or suspend accounts of repeat infringers, as described in our DMCA Policy.

8. Copyright and DMCA

AuctionCalc respects intellectual property rights. If you believe content on the Service infringes your copyright, please follow the notice procedure in our DMCA Policy, which includes contact information for our designated copyright agent.

Submitting a false or bad-faith infringement notice may result in liability under applicable law. If your content was removed due to a mistake or misidentification, you may submit a counter-notice as described in our DMCA Policy.

9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Share account credentials with third parties
• Attempt to reverse engineer or scrape data from the Service
• Resell or redistribute Service data without authorization
• Interfere with the proper functioning of the Service

10. Data and Accuracy

While we strive to provide accurate market data and valuations:

• All valuations are estimates based on available market data
• Actual vehicle values may vary based on condition and market conditions
• Users are responsible for their own purchasing decisions
• We do not guarantee specific profit outcomes

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUCTIONCALC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to indemnify and hold harmless AuctionCalc, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
